A Company Secretary (CS) in a Nidhi Company acts as the compliance officer and governance advisor.

Their main duties include:

  • Ensuring compliance with Companies Act, 2013 and Nidhi Rules, 2014.
  • Filing statutory returns (NDH-1, NDH-3, AOC-4, MGT-7, etc.).
  • Convening and recording Board/General Meetings and drafting resolutions.
  • Advising the Board on corporate governance and legal matters.
  • Maintaining registers, records, and member-related documentation.
  • Acting as a liaison between the Board, members, regulators, and auditors.
  • Safeguarding compliance in deposits, loans, and membership norms.

Nature of Work

  • Conducts the annual statutory audit as per the Companies Act, 2013 and Nidhi Rules, 2014.
  • Reviews the financial statements to ensure that they present a true and fair view of the company’s affairs.
  • Verifies compliance with statutory requirements specific to Nidhi companies (e.g., Deposits to NOF ratio, Unencumbered deposit ratio to total outstanding deposits).
  • Issues the Audit Report and CARO (Companies Auditor’s Report Order) wherever applicable.
  • Internal Audit: Verifies compliance with company norms and regulations at branches.
